Other Boards and Committees

Our Statutory Audit Committee was set up at the Board of Directors meeting held in February 2015. The Statutory Audit Committee is composed of at least three members that have been appointed by our Board of Directors, of which at least one shall be an independent Board member as defined by the Novo Mercado Rules. Our Statutory Audit Committee is composed of Matthieu Malige (Chairman), Laurent Valleé e Cláudia Almeida e Silva (independent).

Our Strategy Committee established in February 2015 was renamed the Strategy and Transformational Projects Committee at the Board meeting held in July 2022. The Strategy Committee is currently composed of five members of the Board of Directors: Stéphane Maquaire (Chairman), Matthieu Malige, Elodie Perthuisot, Jérôme Nanty, Eduardo Pongrácz Rossi, Flávia Almeida and Alexandre Szapiro (independent)

Our Human Resources Committee established in February 2015 was renamed Talent, Culture and Integration Committee at the Board of Directors meeting held in July 2022. Currently, the Committee is composed of Flávia Almeida (Chairman) Laurent Vallée, Jérôme Nanty and Vânia Neves (independent), all members of the Board of Directors.

Our Talent, Culture and Integration Committee is the competent body to review the Statutory Executive Officers’ evaluation criteria. Currently, we do not have an established process to evaluate members of the Board of Directors and advisory committees.

Our Fiscal Council was installed at the Annual and Extraordinary General Meeting held on April 13, 2023, pursuant to the Brazilian Corporate Law, and has the following composition:

Rosana Cristina Avólio as an effective member and her respective substitute Tiago Cury Isaac
