Board of Directors and Board of Executive Officers

Pursuant to our Bylaws and the Brazilian Corporation Law, our Management is composed of a Board of Directors and a Board of Executive Officers. We also have permanent advisory bodies to assist our board of directors: audit committee, strategic committee, and a human resources committee. Our Bylaws also provide for a non-permanent Fiscal Council to be set up if requested by our shareholders. We are also subject to additional requirements in accordance with Novo Mercado Regulations.

Alexandre Bompard Chairman of the Board of Directors

Alexandre Bompard is a graduate of the Institut d’études Politiques de Paris, with a diploma in Public Law and post-graduate studies in Economics. He is also a graduate of the École Nationale de l’Administration (ENA) (Cyrano de Bergerac class). After graduating from the ENA, Alexandre Bompard joined the French General Inspectorate of Finance (1999-2002). He became the technical advisor to François Fillon, then Minister for Social Affairs, Labour and Solidarity (April-December 2003).

From 2004 to 2008, he held various positions within the Canal+ group, notably as Chief of Staff to President Bertrand Méheut (2004-2005) and Director of Sports and Public Affairs (June 2005 to June 2008). In June 2008, he was appointed President and CEO of Europa 1 and Europa 1 Sport. In January 2011, Alexandre Bompard joined the Fnac group, where he was appointed Chairman and Chief Executive Officer. On June 20, 2013, he launched Fnac’s IPO. In autumn 2015, Fnac offered to take over the Darty group and on July 20, 2016 Alexandre Bompard became Chairman and CEO of the new Fnac Darty entity. He is a Chevalier de l’Ordre des Arts et des Lettres (France).

Since 18 July 2017, Alexandre Bompard has been Chairman and Chief Executive Officer of Carrefour. In addition, he has chaired the Carrefour Foundation since September 8, 2017.

Carine Kraus Board member

Carine Kraus is a graduate of Essec and Sciences-Po Paris and an alumnus of ENA, she began her career at the French Ministry of Economy and Finance before joining Veolia in 2012, where she held the position of CEO of Veolia Energie France. As of 2020, she became responsible for the Sustainable Development area of the Carrefour Group (global).

Eduardo Pongrácz Rossi Board member

Eduardo Pongrácz Rossi has been a member of our Board of Directors since December 17, 2014, a member of our Statutory Audit Committee, our Human Resources Committee and our Strategy Committee. Mr. Rossi is a business administrator, with a double degree in Finance and Marketing from Fundação Getúlio Vargas (FGV), where he was elected Student Representative of the Board of Directors. He also graduated with honors from the Master Business Administration course at Columbia University (NY). Since 2010, Mr. Rossi is a member of Península Participações, a group of investment companies owned by the Diniz family and currently serves as Vice Chairman and Chief Investment Officer (CIO) of the Group. He has over twenty years of experience in the financial market, including vice presidency at JP Morgan and Salomon Smith Barney in New York. He is also an associate member of two NGOs: Peninsula Institute, since 2010 and Criança Segura, since 2005.

Elodie Perthuisot Board member

Elodie Perthuisot joined Carrefour as Chief Marketing Officer in 2018. She then held the position of Executive Director of E-commerce and Marketing before being appointed Director of E-commerce and E-commerce Supply Chain France in 2020.In March 2021, she was appointed Executive Director of E-commerce, Digital Transformation and Data for the Carrefour group.

Before joining Carrefour, Elodie Perthuisot was Commercial Director at Fnac and then Fnac Darty for about six years.

Flávia Buarque de Almeida Board Member

Flavia Buarque de Almeida holds a degree from Fundação Getulio Vargas (1989) and an MBA from Harvard University (1994). From 1989 to 2003, she was a Consultant and Partner at McKinsey & Company. From May 2003 to September 2009, she served as General Manager of Participações Morro Vermelho. From November 2009 to April 2013, she was Partner of the group Monitor, responsible for its operations in South America. She was director of BRF SA from 2018 to 2022. In July 2013, Flavia Buarque de Almeida joined Grupo Península as head of the Private Equity business. She became Managing Director in January 2016 and partner of Península Capital in the same year. In June 2019, she became CEO of Peninsula Capital. She is also Director of W2W e-Commerce de Vinhos SA since August 2016 and of Ultrapar Participações SA since May 2019.

Jérôme Nanty Board member

Jérôme Alexis Louis Nanty member of the Board of Directors, Chairman of the Strategy Committee and member of the Company’s Human Resources Committee since 26 September 2019. A graduate of the Institut d’études politiques de Paris, he holds a Master’s degree in Public Law. He started his career in 1986 at Société Générale. In 1989 he joined the Financial Markets Department of Crédit Lyonnais as a Public Debt Operator and was subsequently appointed Head of the Securities Issuers Portfolio. In 1998, he joined the Human Resources Department as Head of Employment Policy and Labour Relations. He was Director of Labor Relations for the Crédit Lyonnais Group between 2001 and 2004 and held the same position in parallel in the Credit Agricole Group since 2003, being responsible for the social aspects of the merger between the Crédit Lyonnais Group and Crédit Agricole. He was appointed Human Resources Director of LCL in 2005 and subsequently of the Caisse des Dépôts Group in 2007. During 2013 to 2016, he was Secretary General of the Transdev Group and also Chairman of the Supervisory Board of SNCM. In July 2016 he joined the Air France KLM Group as Deputy – General Manager in charge of the General Secretary of Human Resources and the management of the Group’s transformation. He joined the Carrefour Group in October 2017 as Executive Director of Human Resources for the Group and France. Since July 1, 2019, he has also been responsible with regard to the real estate aspects of Group properties.

Laurent Vallée Board member

Laurent Charles René Vallée is a graduate of ESSEC Business School, Institut d’études politiques de Paris and École Nationale de l’Administration (ENA).

He began his career at the Conseil d’État, France’s Supreme Administrative Court, where he served in particular as Government Commissioner and Constitutional Advisor to the Secretary General of the Government. From 2008 to 2010, Laurent Vallée was a lawyer at the law firm Clifford Chance, before being appointed Director of Civil Affairs at the Ministry of Justice in April 2010. He was then Corporate General Secretary of the Canal+ group from 2013 to 2015. Since March 2015, he has served as Secretary General of the Conseil Constitutionnel, the constitutional council of France. On August 30, 2017, Laurent Vallée joined the Executive Management team as Secretary General of the Carrefour group.

Matthieu Malige Board member

Matthieu Dominique Marie Malige has been Coordinator of the Statutory Audit Committee since December 2017 and a member of the Board of Directors.

He started his career at Lazard Frères in Paris where he worked as Assistant Director of Financial Affairs. From 2003 to 2011. He held different positions in the Carrefour Group: Director of Development and Strategy, Chief Financial Officer of Belgium and Chief Financial Officer of France. In August 2011, Matthieu Dominique Marie Malige was appointed Chief Financial Officer of the Fnac Group and in 2017, Superintendent Chief Financial Officer of the Carrefour Group. He holds degrees from HEC and Ecole des Travaux Publics and a Master’s degree from the Master’s Degree in Science (UCLA).

Stéphane Maquaire Board member

Mr. Stéphane Samuel Maquaire has been with Carrefour Group since 2019 as Chief Executive Officer (CEO) of Carrefour Argentina Group, where he successfully led a transformation plan, focusing on customer centricity and digital strategy, leading to significant improvements in the company’s financial performance, a substantial increase in customer satisfaction and a consolidation of Carrefour Argentina’s leadership. Mr. Maquaire, has extensive international expertise in the retail segment, having worked as CEO of companies such as Monoprix, Vivarte and Manor.

Marcelo D'Arienzo Board member

Graduated in Business Administration from FAAP, Marcelo D’Arienzo has more than 20 years of experience in the market. CEO of the Wine Group since 2019, has outstanding performance for the diversification and internationalization of the business, which resulted in the company’s significant growth. He was managing partner of Península in the direct investment area since 2013, where he is still a partner, and was responsible for investments in digital, retail and consumer companies, appearing as an advisor in some of these companies. He worked for 7 years in strategic consultancy at Monitor Group where he led more than 35 projects and transactions in the areas of consumer goods, retail and infrastructure, in several regions (USA, Europe, Africa).
He also worked for 5 years in different professional services (real estate, technology and banking). The businessman attended executive programs at Harvard Business School, Stanford University and FGV, in addition to being a member of the Bucerius Forum on Global Governance and YPO.

Alexandre Arie Szapiro Independent Board member

Alexandre Arie Szapiro graduated in marketing from Fundação Armando Álvares Penteado – FAAP, in 1993. He is currently Managing Partner and President of Softbank Group Corp. in Brazil, a position he has held since 2021. He was Vice President and General Manager of Amazon in Brazil from 2012 to 2021, General Manager of Apple in Brazil from 2007 to 2012, General Manager and Vice President of Marketing and Sales of Palm in Brazil from 2003 to 2007, as well as General Manager Chile and Southern Cone in the same company from 2002 to 2003, Business Development Director of Office Net in Brazil between 2000 and 2002, Business Development Director of Submarino.com between 1999 and 2000, Sales and Business Development Director of Motorola in Brazil between 1996 and 1999. He was a trainee at Citibank between 1993 and 1994, and Director of Corporate Loans at the same company between 1994 and 1996.

Cláudia Almeida e Silva Independent Board member

Cláudia Almeida e Silva is a managing partner at Singularity Capital, an investment fund dedicated to startups, and an advisor within the incubator Startup Lisboa. She began her career in 1997 as a consultant at Coopers & Lybrand in Portugal, then at PricewaterhouseCoopers, where she was appointed manager of the Customer Relationship Management (CRM) practice in 1999. In 2002, Cláudia Almeida e Silva joined the retail group Conforama in Portugal, where she served as Commercial Director responsible for Marketing, Supply Chain and Product Management. In 2005, she joined Fnac, where she became General Manager of the Portuguese subsidiary in 2008 and, from 2013, a member of the Group Executive Committee responsible for overseeing Spain and Brazil. She is a graduate of the Lisbon School of Business and Economics, of which she is currently Executive in Residence. Her deep knowledge of the start-up sector and her retail experience in southern Europe and Brazil are valuable assets to support the Group’s transformation plan, “Carrefour 2022”.

Vânia Neves Independent Board member

Vânia Maria Lima Neves holds a degree in Mathematics from Universidade Federal Fluminense and post-graduate degrees in Systems Analysis from PUC/RJ and Telecommunications Administration from FGV/RJ. Additionally, Vânia has an MBA from PUC/RJ.

With an extensive career in IT, Vânia has held several senior IT leadership positions, with experience in global and regional leadership, with extensive experience in teams in USA, America, Middle East, Africa, Asia and Europe, managing complexity across regions. He has extensive experience in IT strategy, IT management, multi-country program and project management, project portfolio management, application service management, IT integration in mergers and acquisitions, among others. Prior to joining Carrefour, Vânia was Chief Technology Officer at VALE, in addition to serving as an advisor at HSM Management Magazine.

Mr. Stéphane Maquaire has been working at Carrefour Group since 2019 as Chief Executive Officer (CEO) of Grupo Carrefour Argentina, where he successfully led a transformational plan, focusing on the customer centric vision and digital strategy, leading to significant improvements in the company’s financial performance, a substantial increase in customer satisfaction and a consolidation of the leadership of Carrefour Argentina.
Mr. Maquaire, has a vast international expertise in the retail segment, having worked as CEO of companies such as Monoprix, Vivarte and Manor.

Eric Alencar CFO and IRO – Grupo Carrefour Brasil

Mr. Eric Alencar has more than 20 years of experience in the Brazilian market, having previously held the CFO position at Aché Laboratórios Farmacêuticos, at Grupo Oncoclínicas and at Cyrela Brazil Realty. He holds a degree in Robotics Engineering from the Polytechnic School of the University of São Paulo and an MBA from The Wharton School, University of Pennsylvania.

Marco Aparecido de Oliveira CEO – Atacadão Division

Marco Aparecido de Oliveira has been a member of the Board of Directors since November 2014. With a degree in Business Administration and an MBA from IBMEC (Brazilian Institute of Capital Markets), Marco Oliveira began his career in the Human Resources area and has accumulated more than 30 years of experience in the retail sector.

He started his career at Carrefour Group in 1996 having worked for about ten years at Carrefour where he passed through several areas. With the acquisition of Atacadão by the Marco Group he has been working at Atacadão since 2007. In December 2014 he was appointed Chief Financial Vice-President of Atacadão and from May 2019 he was appointed Chief Operating Vice-President of Atacadão. On August 6, 2021, Marco Oliveira was elected as Chief Executive Officer (CEO) of the Atacadão business unit.

José Rafael Vasquez CEO - Sam's Club and Retail Division

José Rafael has over 30 years’ experience in retail. He began his career in 1993 at Carrefour, in a hypermarket, before joining Walmart, where he remained until 2014, as COO of the company’s Cash&Carry division. After a stint at Sam’s Club as Regional Vice-President, he was appointed Managing Director of the brazilian Cash&Carry Roldão in early 2015, then of the supermarket banners of Prezunic and Bretas (Cencosud Group). Since March 2018, José Rafael had been Vice-President of Operations, Digital and Real Estate at Pague Menos.

Felipe Gomes CEO - Banco Carrefour Division

Mr. Felipe has 26 years of professional experience acquired locally and internationally in large corporations at several industries (Financial Services, Telecom, Consumer Goods and Oil & Gas), and his last position was CEO of Ticket. Solid background built trough projects based on Accelerated growth, Business Excellence, M&A, Digital transformation and Product innovation. He holds a degree in Mechanical Engineering from PUC-RJ, an MBA from FGV and a specialization in Business Management and Leadership from Duke University.

Pablo Hector Lorenzo Chief Operating Officer (COO) - Grupo Carrefour Brasil

Pablo Hector Lorenzo has a degree in accounting and a master’s degree in finance from ESSEC Business School. He has been with the Carrefour Group for over twenty years, having held positions in the finance department at Carrefour France and in the Management Control department at Carrefour Spain. He had been at Carrefour Argentina since 2008, with stints in the Express Operation, the Executive Board, the Hypermarkets Board, the Strategic Projects Board and the Maxi Model Board. Before being elected as Director of the Company, he held the position of Chief Executive Officer of Carrefour Argentina.

David Patricio Fernandes CFO – Atacadão Division

Mr. David Fernandes has over 20 years of professional experience, with extensive financial experience, having started his career in the Elior Group and having served in companies such as Ernst Young and more recently as CFO of Carrefour Argentina.

Liliane Dutra CEO - Carrefour Property Division

She has over 20 years of experience in the Shopping Centers industry, bringing an expertise in management, real estate development, redevelopments, expansions and revitalizations. Liliane has worked as executive leader in companies of the Real Estate segment such as Multiplan, BRMalls, Brookfield and Ancar Ivanhoe Shopping Centers. Prior to joining COMEX, Liliane was Executive Director of Carrefour Property, real estate and assets area of Carrefour Group Brazil.

Marcelo Tardin Chief Transformation and Human Resources Officer - Grupo Carrefour Brasil

With extensive international experience in the areas of Technology, Operations and Project Management, holding executive positions in over 4 countries, in multinational companies. He has held the positions of VP of Technology and Shared Services at Anheuser-Busch InBev/Ambev and VP of Operations and Expansion at Dr Consulta. Since 2019, Marcelo is Managing Director of the BIG Group.

Samuel James Chief Digital Officer - Grupo Carrefour Brasil

He started his career in 2010 at Groupon UK, where he was regional director. After Groupon, In the UK and Ireland, where he oversaw the integration of Hassle.com after the acquisition. Also in 2017 Samuel returned to Brazil as Head of Marketplace for Uber and in 2019 he was appointed Director of Marketplace for LATAM. In April 2022, the executive took over as Chief Digital Officer of Carrefour Group Brazil.
