Board of Directors and Board of Executive Officers

Pursuant to our Bylaws and the Brazilian Corporation Law, our Management is composed of a Board of Directors and a Board of Executive Officers. We also have permanent advisory bodies to assist our board of directors: audit committee, strategic committee, and a human resources committee. Our Bylaws also provide for a non-permanent Fiscal Council to be set up if requested by our shareholders. We are also subject to additional requirements in accordance with Novo Mercado Regulations.

Matthieu Malige Chairman of the Board of Directors

Mr. Matthieu Dominique Marie Malige has been the chairman of the Board of Directors and the Statutory Audit Committee coordinator since December 2017. Mr. Malige began his career in Paris at Lazard Frères, where he acted as an assistant financial officer. From 2003 to 2011, he held various positions at Carrefour: development and strategy officer, chief financial officer — Belgium, and chief financial officer — France. In August 2011, Matthieu Dominique Marie Malige was elected CEO of Fnac Group, and in 2017, the managing financial officer of Grupo Carrefour. Mr. Malige holds a degree from HEC and the Ecole des Travaux Publics, and a master’s degree in science from UCLA.

Edouard Balthazard Vice Chairman of the Board of Directors

Mr. Edouard Balthazard Bertrand de Chavagnac has served as Grupo Carrefour Brasil’s general legal officer since July 2018. In 2004, Mr. Balthazard served as an advisor to Vivendi Group regarding its international M&A transactions, international litigation, and bidding issues. In 2008, he served as an attorney at White & Case LLP in its Paris and New York offices. From 2012 to 2016, he served as a general corporate legal officer at Grupo Canal+, a pay-TV broadcaster. In 2016, he was elected general legal officer of the Engie Group. Mr. Chavagnac holds a post-graduate degree in Law from Paris II Pantheon Assas University and a degree in Business Administration and Law from the ESCP Europe Management Business School.

Noël Prioux Board member

Mr. Noël Prioux joined Carrefour Group in 1984. From 1984 to 1996 he held several positions in the group’s hypermarkets business in France. In 1996, he became the chief financial officer of Carrefour S.A. in France. Beginning in 1998, he served as the executive officer at Carrefour S.A. and certain subsidiaries of the group, including Turkey (1998-2001), Carrefour France hypermarkets (2001- 2003), Colombia (2004-2006), South Asia (2006-2008), and Spain (2008-2011). In 2011, he was elected executive officer of Carrefour S.A. in France. In February 2018, Mr. Prioux became chief executive officer of Grupo Carrefour Brasil.

Abilio dos Santos Diniz Board member

Mr. Abilio dos Santos Diniz has been a member of the Board of Directors since December 2014. Along with his father, Mr. Diniz was responsible for the creation and development of Grupo Pão de Açúcar, whose Board of Directors he chaired until September 2013. From 1979 to 1989, Mr. Diniz was a member of the Brazilian National Monetary Council. Currently, Mr. Diniz is the chief executive officer of Península Participações, a family-based investment firm. Since 2010, Mr. Diniz has taught a Leadership 360o course in partnership with FGV (Getúlio Vargas Foundation) to develop young leaders. He holds a degree in business administration from Getúlio Vargas Foundation (FGV).

Eduardo Pongrácz Rossi Board member

Mr. Eduardo Pongrácz Rossi has been a member of the Board of Directors since December 2014. He is also a member of the Statutory Audit Committee, Human Resources Committee, and Strategy Committee. Since 2010, he has been a partner of Península Participações, acting as CEO and CIO. Mr. Rossi has 22 years of experience in the financial market, including serving as vice president of J.P. Morgan and Salomon Smith Barney in New York. He has also been a member of two NGOs: Criança Segura, since 2005, and Península Institute, since 2010. Mr. Rossi holds a degree in business administration, with a double major in finance and marketing from Getúlio Vargas Foundation (FGV), where he was elected student representative to the school’s board of directors. He also received, with honors, a master’s degree in business administration from Columbia University in New York.

Luiz Fernando Vendramini Fleury Independent board member

Mr. Luiz Fernando Vendramini Fleury has been an independent member of the Board of Directors since June 2017 and a member of the Statutory Audit Committee. He has solid experience in the financial market and has worked in investment and commercial banks, such as Banco Marka, Citibank, and Itaú. He was the CEO of Credicard Group, promoting the network internalization process, and raising the number of members to over 600,000. Most recently, while managing Banco IBI, the company recorded a substantial increase in net income and equity. He was also the CEO of CETIP, where he oversaw the general performance policies and guidelines in accordance with the objectives outlined by the Board of Directors. Mr. Fleury holds a degree in Business Administration from Getúlio Vargas Foundation– SP, with specialization in financial management from New York University and a postgraduate degree in finance management from FGV- SP. Mr. Fleury has also completed a range of management, finance, and capital market courses around the world at institutions such as Northwestern University, Harvard Business School, Michigan Business School, London Business School, and Oxford University.

Marcelo Pavão Lacerda Independent Board member

Mr. Marcelo Pavão Lacerda has been a member of the Board of Directors since June 2017 and is currently a member of the Human Resources and Strategy committees. Marcelo Lacerda co-founded Nutec Informatica in 1986, which became ZAZ, and in 1999, was rebranded as Terra. This company became Latin America’s largest Internet service provider in 2001, with operations in 19 countries. At Terra, Marcelo held several executive positions in Brazil, Spain, and the United States. Marcelo is also the co-founder of the digital advertising agency, which was acquired by WPP in 2011. Mr. Lacerda is also the founder and vice chief executive officer of Blue Interactive, a cable TV company with 160,000 subscribers and operations in 23 cities. He is also founder and chairman of the board of directors of Magnopus, a computer graphics company based in Los Angeles, CA. Mr. Lacerta holds degrees in electrical engineering and computer science from the Federal University of Rio Grande do Sul.

Claire Marie Du Payrat Board member

Claire Marie Du Payrat has been a member of our Statutory Audit Committee since July 25, 2018, serving as an accounting specialist and a member of the Board of Directors since September 26, 2019. Claire Payrat has graduated from HEC and the Savencia Group. She was an internal auditor from 1991 to 1993 and was responsible for the business units in France and the United States, Brazil, Argentina, Spain, England and Belgium. In 1997, she started at Nestle France, being controllership manager (1997-1999), Financial Head (1999-2005) and project manager (2005-2006). In 2006, she started at Sagem Mobiles (Safran Group) as Head of Management Control. She joined Veolia in 2008, working in the “Waste Business” area with controlling and financial management. In 2013, she became Managing Director of the Veolia Group. In May 2018, she joined Carrefour France as Head of Financial Control.

Marc-Olivier Pierre Jean François Rochu Board member

Mr. Marc-Olivier Pierre Jean François Rochu is graduate by the École Supérieure de Commerce de Paris (ESCP). He started his career in 2000 in the investment banking/corporate finance division of Citigroup in London. In 2005, he joined the Corporate Finance/ ergers & Aquisitions team at Lehman Brothers in London, with focus on telecom and media sectors. From 2007 to 2012, he worked at Deutsche Bank in London, especially with Mergers & Aquisitions Leveraged Buyouts, restructuring operations, IPOs and other market transactions in a wide range of sectors. In December 2012, he joined Carrefour’s Corporate Development and Mergers & Aquisitions team, having made several acquisitions (especially in Brazil), divestments and equity offers. Since March 1, 2020, he has been responsible for the global mergers and acquisitions team based in France and Brazil, acting as co-head of the group’s Mergers & Aquisitions.

Jérôme Nanty Board member

Jérôme Alexis Louis Nanty has been a member of the Board of Directors, Chairman of the Strategy Committee and member of the Company’s Human Resources Committee since September 26, 2019. Graduated from the Institut d’études politiques of Paris, holds a master’s degree in Public Law. He began his career in 1986 at Société Générale. In 1989, he joined Crédit Lyonnais’s Financial Markets Department as a Public Debt Operator and was subsequently appointed Head of Securities Issuers. In 1998, he joined the Department of Human Resources as Head of Employment Policy and Labor Relations. He was Director of Labor Relations at the Crédit Lyonnais Group from 2001 to 2004 and held the same position in parallel at the Credit Agricole Group since 2003, being responsible for the social aspects of the merger between the Crédit Lyonnais Group and Crédit Agricole. He was appointed Director of Human Resources at LCL in 2005 and later at the Caisse des Dépôts Group in 2007. During 2013-2016, he was Secretary General of the Transdev Group and also Chairman of the Supervisory Board of SNCM. In July 2016, he joined the Air France KLM Group as Deputy General Manager in charge of the Secretary General of Human Resources and the transformation management of the Group. He joined Carrefour Group in October 2017 as Executive Director of Human Resources of the Group and France. Since July 1, 2019, he has also been responsible for the real estate aspects of Group properties.

Stéphane Maquaire CEO – Grupo Carrefour Brasil

Mr. Stéphane Maquaire has been working at Carrefour Group since 2019 as Chief Executive Officer (CEO) of Grupo Carrefour Argentina, where he successfully led a transformational plan, focusing on the customer centric vision and digital strategy, leading to significant improvements in the company’s financial performance, a substantial increase in customer satisfaction and a consolidation of the leadership of Carrefour Argentina.
Mr. Maquaire, has a vast international expertise in the retail segment, having worked as CEO of companies such as Monoprix, Vivarte and Manor.

David Murciano Chief Financial and Investor Relations Officer – Grupo Carrefour Brasil

Mr. David Murciano graduated from ESCP Business School and started his career in 1999 as an auditor at Arthur Andersen. In 2003, he joined Carrefour Group controllership department and led several areas in Belgium and Turkey. In 2011, he assumed Finance and Real Estate Director role at Monoprix and Executive Director position later. In January 2018, he returned to Carrefour Group to assume the position of Chief Financial Officer (CFO) of the Spanish operations, a position he held until 2021.

Sébastien Durchon Executive Director of Grupo BIG Integration

Mr. Sébastien Durchon has been a member of the Board of Executive Officers since April 2015. He began his career in 1999 at the audit firm Mazars et Guerard, where he worked for six years, first as an auditor and then as a consultant. In 2004, he obtained his DEC (Diplôme d’expertise comptable), the French equivalent of the U.S. Public Accountant Certification. In 2005, Mr. Durchon founded Consomind, a consulting firm specializing in consolidation processes and systems, accounting standards, and other accounting topics. From October 2008 to April 2011, he served at Fives, an industrial engineering group with 1.5 billion Euros in sales, which was under a leveraged buyout (LBO) at that time. At Fives, he was the consolidation and accounting officer and successfully headed several projects in the financial area, such as the conversion of financial reporting from French GAAP to IFRS and the implementation of a new system to produce the consolidated accounts of Grupo Carrefour. Mr. Durchon was also in charge of several issues relating to the LBO structure (contracts, internal dividends policy, and legal and tax issues) and contributed to acquisitions made by Fives. In June 2011, Mr. Durchon joined Carrefour Group France as a consolidation officer and in October 2013, he became deputy officer of Carrefour Group Financial Control (France). In April 2015, he became the chief financial officer of Grupo Carrefour Brasil until July 2021, when he became Executive Director of Grupo BIG Integration. Mr. Durchon holds a degree from École des Hautes Etudes Commerciales – Paris (France’s top administration school).

Marco Aparecido de Oliveira CEO – Atacadão

Mr. Marco Aparecido de Oliveira has been a member of the Board of Executive Officers since November 2014. He began his career at Carrefour in 1996 as an analyst, then became a department leader, department manager, pricing Officer, and chief financial officer. In December 2014, he was elected chief financial officer of Atacadão, and on May 9, 2019, he was elected chief operations officer – Atacadão. Mr. Oliveira holds a master’s degree from Insper (among Brazil’s top business schools). In August, 6, 2021 Mr. Oliveira was elected as chief executive officer of the Atacadão business unit.

Guillaume de Braquilanges Chief Financial Officer - Atacadão

GUILLAUME MARIE MAX PHILIPPE DE BRAQUILANGES has an executive MBA from INSEAD and a postgraduate degree in administration from Tolouse Business School. Mr. Guillaume started his career at Carrefour Group in 2005, as Project Finance Manager of the subsidiary located in Turkey. Mr. Guillaume held several leadership positions in many subsidiaries of the group (Italy, Turkey and Greece) and Colombia, where he was the company’s Financial Controller and Head of Financial Control. In 2017, he went to the subsidiary of Carrefour Group in Taiwan as Chief Financial Officer (CFO).

Catia Porto Vice President of People Management

Catia Porto has been the Vice President of People Management since January 2022. She has 25 years of experience in the Human Resources area, having worked in Brazil and abroad for large companies such as Nokia, British American Tobacco, UnitedHealth Group ( UHG) and more recently Grupo BIG in Brazil where she led the HR function, responsible for the people, cultural and digital transformations projects across the business.

Carlos Mauad CEO of Banco Carrefour

Since January 2019 at Banco Carrefour, Mr. Mauad previously served as Smiles S.A. Commercial Director, has solid experience in the financial market and payment solutions, also working in companies such as Citibank, in addition to a solid track record in structuring financial products and clients acquiring, Mr. Mauad worked in Marketing, Data Analysis and Modeling, CRM, Pricing, UX and Digital Transformation.

Stephane Engelhard Chief Institutional Relations Officer

Mr. Engelhard has been the institutional relations and sustainable development officer since 2014. Prior to joining Carrefour, he worked at Deloitte and held executive positions at Accor Brasil, Accor Latin America, and Accor Central Europe. He holds a degree in business administration from Maine University in France, with specializations from the University of Paris Dauphine, Dom Cabral Foundation, and the Paris School of Business.

Regina Maia Executive Director of Communication

Regina Maia is the Executive Director of Communication at Grupo Carrefour Brasil. She has more than 20 years of career in the Communication area, 18 of which are dedicated to the management and the strategic planning of communication for large companies, Regina brings a rich background of experience in internal communication, media relations, prevention and management of reputational crises and corporate sustainability, with a focus on social responsibility. Throughout her professional career, Regina has worked in large companies, having worked in the reputation management of Votorantim Celulose e Papel / Fibria, Raízen e Souza Cruz / BAT Latam South, where she was also president of the Souza Cruz Institute.
